Terms of Supply

1. Parties and Scope

These Terms of Supply ("Terms") govern every sale of products by Helyx Research Australia Pty Ltd (ABN 91 401 799 130) ("Supplier", "we", "us") to the person or entity placing an order ("Purchaser", "you"). These Terms prevail over any terms proposed by the Purchaser unless we agree otherwise in writing.

2. Research Use Only

By placing an order, you represent and warrant that:

• You are a qualified researcher, licensed professional, or institutional buyer aged 18 years or over
• You are acquiring the products solely for legitimate, lawful in vitro laboratory or scientific research
• You will not consume, inject, inhale, topically apply, or otherwise administer any product to any human or animal, and will not supply any product to another person for such purposes
• You will not resell or redistribute products for personal use by any person
• You have the training, facilities, and safety controls appropriate for handling research compounds
• Your acquisition, possession, and use of the products complies with all Commonwealth, state, and territory laws applicable to you, including the Therapeutic Goods Act 1989 (Cth), the Poisons Standard, and relevant state and territory Poisons legislation

We may refuse, cancel, or refund any order where we reasonably believe these representations are untrue. The research-use declaration made at checkout forms part of the contract of supply.

3. No Therapeutic Supply

Products are not therapeutic goods. They are not listed or registered on the Australian Register of Therapeutic Goods, and nothing on this website or in any communication from us constitutes medical advice, a health claim, or an offer to supply goods for therapeutic use. Product descriptions, specifications, and any references to scientific literature are provided solely to identify the compound and its research context.

4. Orders and Payment

• An order is placed when you submit the order form and is accepted when we confirm payment has cleared
• Payment is by bank transfer or PayID using the payment reference issued at checkout
• Orders unpaid after 7 days are cancelled automatically
• Prices are in Australian dollars and include GST where applicable
• We may correct pricing errors on the website at any time before acceptance

5. Shipping and Risk

• Orders are dispatched within 1 business day of payment clearing, from Australian domestic stock
• Products are shipped in temperature-appropriate packaging suitable for the stability profile stated on the product page
• Title passes on payment in full; risk passes on delivery to the shipping address you provide
• You are responsible for providing an accurate delivery address and for appropriate storage immediately on receipt (the stated storage condition for lyophilised product is -20°C, protected from light)

6. Quality and Returns

Products are sourced from specialist third-party manufacturers and independently batch-tested before sale. Each batch is supplied with a third-party Certificate of Analysis. If a product does not conform to its stated specification, contact us within 14 days of delivery with the batch number and supporting detail, and we will replace the product or refund the purchase price. Because compound integrity cannot be assured once a vial leaves our cold chain, we do not otherwise accept change-of-mind returns. Nothing in these Terms excludes consumer guarantees that cannot be excluded under the Australian Consumer Law, to the extent they apply.

7. Limitation of Liability

To the maximum extent permitted by law, our total liability arising out of or in connection with any order is limited to resupply of the relevant product or refund of the price paid for it. We are not liable for any loss arising from use of a product contrary to these Terms, including any administration of a product to a human or animal. You indemnify us against any claim, loss, or penalty arising from your breach of clause 2.

8. Cancellation by Us

We may cancel any order before dispatch and refund all amounts paid if we are unable to verify the bona fides of the order, if stock is unavailable, or if supply would in our reasonable view contravene any law.

9. General

• These Terms are governed by the laws of New South Wales, Australia, and the parties submit to the non-exclusive jurisdiction of its courts
• If any provision is unenforceable, it is severed and the remainder continues in force
• We may update these Terms at any time; the version in force when you place an order applies to that order
